This User Agreement (“Agreement”) is entered into between you (“User”) and CIBUS Market LLC, a limited liability company registered in the State of Massachusetts. This Agreement governs your access to and use of the CIBUS Market platform whether you are acting as a buyer, seller, or both.
By registering for or using the platform, you agree to comply with the terms set forth below.
- Scope and Eligibility
CIBUS Market is a B2B marketplace for sourcing and selling bakery and food ingredients. Users must be authorized representatives of registered business entities and legally capable of entering into binding agreements.
- Platform Role
CIBUS Market acts solely as a facilitator and is not a party to transactions between buyers and sellers. We do not manufacture, store, or inspect listed products.
- Use of Platform
Users may:
- List food ingredients and related products for sale.
- Browse product listings and contact CIBUS Market to connect with sellers.
Users are responsible for their own activities and communications on the platform.
- Product Listings (Sellers)
Sellers agree to:
- List only safe, lawful goods that are within shelf life.
- Provide accurate descriptions, including expiration dates.
- Comply with all applicable food safety regulations (FDA, USDA, etc.).
- Maintain ownership or full legal authority to sell the goods.
- Ensure goods are free of liens or third-party claims.
- Provide proof of product liability insurance upon request by buyers.
- Orders and Fulfillment
- Final sale terms are established directly between buyer and seller.
- Sellers are responsible for timely fulfillment.
- Buyers are responsible for timely payment according to agreed terms.
- Sellers must notify CIBUS Market within two (2) business days of a completed sale.
- Commission and Payment
- Sellers agree to a 5% commission on the net sales value of each transaction for non-expired products and a 10% commission for expired products.
- Commission is invoiced after confirmation of sale and must be paid within five (5) business days of seller receiving payment.
- Product Warranty & Liability
- All products are sold “as is.” CIBUS Market does not warrant product quality, suitability, or compliance.
- Sellers assume full responsibility for product safety, legality, and quality.
- Disputes
- Users should first attempt to resolve disputes directly.
- CIBUS Market may mediate at its discretion but assumes no liability for resolution outcomes.
- Seller disputes with CIBUS Market related solely to commission charges or payment terms shall be resolved through binding arbitration in Massachusetts under AAA rules.
- Limitations and Prohibited Uses
Users may not:
- Provide false or misleading information.
- Circumvent the platform or commissions.
- Use the platform for illegal or unauthorized purposes.
- Interfere with platform functionality or access unauthorized areas.
- Termination
Either party may terminate this Agreement with written notice. All obligations accrued prior to termination (e.g., commissions owed) survive termination.
- Modifications
CIBUS Market reserves the right to update this Agreement at any time. Continued use of the platform constitutes acceptance of the updated terms.
- Governing Law
This Agreement shall be governed by the laws of the Commonwealth of Massachusetts.
